General Delivery Conditions
- These General Delivery Conditions form an integral part of every purchase contract for goods concluded between Chirana Progress, s.r.o., hereinafter the Supplier, and the buyer, hereinafter the Customer.
- The contractual relationship is established when the purchase contract is signed by the authorised persons of both contracting parties, or when the Supplier delivers a confirmation of the order in writing or electronically.
- Under the purchase contract, the Supplier undertakes to deliver the agreed goods to the Customer and to hand over the documents relating to the goods.
- The goods remain the property of the Supplier until the relevant invoice has been paid in full.
- The risk of damage passes to the Customer when the goods are taken over by the Customer or by the first carrier at the place of dispatch of the goods to the Customer.
- Transport is not included in the price of the goods unless agreed otherwise.
- Unless agreed otherwise, the Supplier delivers the goods in standard packaging.
- The Supplier provides a warranty on the goods in accordance with Sections 429, 430 and 431 of Act No. 513/1991 Coll., the Commercial Code, for 24 months from the day the goods are taken over by the Customer, as stated on the Supplier’s invoice. An extended warranty can also be agreed for a fee. The warranty does not cover defects caused by improper use, failure to follow the operating instructions, insufficient or improper cleaning and maintenance, or consumables.
- Claims must be made with the Supplier. When making a claim, a copy of the warranty certificate confirmed by the service organisation and/or the product type, its serial number and a description of the defect, or photographic documentation where applicable, must be submitted.
- The Supplier will settle a warranty claim without delay, either directly or through an authorised service, by repairing the product or replacing the damaged part; the costs of the repair and/or replacement are borne by the Supplier.
- Apart from the Customer’s claims under Article 10, the Supplier is not liable for any other damage caused by a product defect or for the Customer’s loss of profit.
- The Customer must pay the purchase price no later than on the due date of the invoice. Unless stated otherwise, the Supplier has the right to charge default interest for late payment of 0.05% for the first 30 days, 0.07% for the next 30 days and 0.12% for each further day of delay, whereby the total amount may not exceed 20% of the value of the goods to which the delay relates.
- The Customer undertakes to have the installation and the training of operating staff carried out exclusively by the Supplier or by a sales and service organisation authorised by the Supplier, and to provide feedback on the delivered products by sending a confirmed copy of the warranty certificate and other information on the use of the product that could help the Supplier to further improve the product.
- If the goods are not collected within 10 days, the Supplier has the right to charge a storage fee of 0.1% of the value of the goods for each day of storage and, after a further 15 days, to withdraw from the contract and charge a cancellation fee of 20% of the value of the goods not collected.
- If the Supplier is late in delivering the goods, the Customer is entitled to default interest of 0.05% for the first 30 days, 0.07% for the next 30 days and 0.12% for each further day of delay, whereby the total amount may not exceed 20% of the value of the goods to which the delay in delivery relates.
- If the Customer’s organisation enters bankruptcy or restructuring, or is to cease to exist, whether by division, merger or dissolution with or without liquidation, the Customer must notify these facts without undue delay, together with the name and address of the legal successor that has taken over or will take over the obligations under the purchase contract, or the name and address of the liquidator. If the Customer fails to fulfil this obligation, the Customer must compensate for the resulting damage.
- The Customer must notify the Supplier of its company ID (IČO) and tax registration number if it is registered as a VAT payer. The Seller is not responsible for any consequences of a tax registration number not being given or being given incorrectly.
- Relations not governed by this contract are governed by the Commercial Code of the Slovak Republic.
- Changes and amendments to the purchase contract must be made in writing and confirmed by both contracting parties.
